3. Separate project agreements

Submitting an enquiry, requesting a consultation, receiving general cost guidance or communicating with Sparrow does not create a binding agreement for Sparrow to perform work.

If Sparrow agrees to undertake a project, the parties will enter into a separate written agreement, proposal, estimate, work order or contract that may address:

  • Products and materials
  • Project price
  • Deposits
  • Progress payments
  • Taxes
  • Permits

The separate written project agreement will control the remodeling, construction, restoration, supply or installation work.

If there is a conflict between these Website Terms and a signed project agreement, the signed project agreement will control with respect to the project.

4. Eligibility and authority

The website is intended for adults who are legally able to enter into contracts.

By using the website or submitting a form, you represent that:

Any project duration, installation period, manufacturing lead time or completion estimate shown on the website is an approximation.

Timing may be affected by:

11. Product information and availability

Product names, images, specifications, colours, finishes, availability and lead times may change without notice.

Products shown on the website may:

  • Be replaced by a comparable product with customer approval

12. Uploaded photographs, plans and files

You may be able to submit photographs, drawings, plans, insurance documents or other files through the website.

You retain ownership of materials you submit.

By submitting materials, you grant Sparrow and its service providers a limited, non-exclusive licence to access, store, copy, review and use those materials for purposes such as:

This licence does not give Sparrow permission to use clearly identifiable customer or property photographs in public marketing unless permission is provided separately or such use is authorised under a separate agreement.

You represent that:

  • Their submission does not violate another person’s rights
  • They do not contain unlawful content
  • They do not contain malicious software
  • You have removed information that is not reasonably necessary for the enquiry

Do not upload passwords, complete financial account credentials, Social Security numbers or other highly sensitive information through a general website form.

We may delete or refuse files that are unsafe, irrelevant, unlawful or technically unsupported.

13. Customer-provided information

You are responsible for providing accurate and complete information concerning:

Material omissions or inaccuracies may affect project feasibility, estimates, scheduling and pricing.

14. Insurance restoration enquiries

Sparrow may assist with damage documentation, estimates, restoration planning and communications relating to an insurance restoration project.

Unless Sparrow separately holds and identifies an applicable professional licence, Sparrow is not acting as:

  • Your insurance company
  • Your insurance agent
  • Your attorney
  • Your financial adviser
  • Your licensed public adjuster
  • A guarantor of insurance coverage

Sparrow does not control and cannot guarantee:

  • Whether an insurer will accept a claim
  • Whether damage is covered
  • The amount an insurer will pay
  • The insurer’s valuation
  • Claim processing time
  • Deductibles
  • Policy exclusions
  • Depreciation calculations
  • Supplemental payments
  • Final claim outcomes

You remain responsible for reviewing your insurance policy, communicating with your insurer and obtaining independent legal, insurance or professional advice when appropriate.

Any restoration work will be subject to a separate written agreement. Insurance approval does not necessarily remove your responsibility for amounts due under that agreement.

15. Builders, developers and commercial enquiries

Information concerning builder, developer, trade or multi-unit services is general information only.

Submitting a builder or developer enquiry does not:

  • Establish a trade account
  • Guarantee credit terms
  • Guarantee capacity
  • Reserve production or installation dates
  • Guarantee pricing
  • Create an exclusive supplier relationship
  • Create a subcontract
  • Create a construction contract

Any trade relationship, commercial project, supply arrangement or subcontract will require separate written approval and documentation.

16. Permits, codes and professional services

Construction and remodeling work may require permits, inspections, licensed trades, engineering, architectural services or other approvals.

Responsibility for obtaining and paying for these items will be stated in the relevant project agreement.

Nothing on the website constitutes:

Consent is not a condition of:

18.4 Charges

Message and data rates may apply.

Your mobile carrier’s normal rates and terms will apply. Sparrow is not responsible for charges imposed by your carrier.

18.5 Opting out

You may withdraw SMS consent at any time.

You may opt out by:

  • Replying QUIT
  • Replying END
  • Replying REVOKE
  • Replying OPT OUT
  • Replying CANCEL
  • Replying UNSUBSCRIBE
  • Calling Sparrow
  • Emailing Sparrow
  • Communicating your request through another reasonable method

An opt-out request should clearly communicate that you no longer wish to receive text messages.

Sparrow will process reasonable opt-out requests as soon as practicable and within the period required by applicable law.

After opting out, you may receive one final non-promotional message confirming that your request has been processed.

You will not receive further messages under the relevant SMS program unless you provide consent again.

  • Normal wear, misuse and unauthorised modifications may not be covered
  • Natural variations in materials are not necessarily defects

Any Sparrow workmanship warranty will be described in the applicable project agreement.

26. Limitation of liability

This section applies to website use and preliminary online interactions. It does not replace the liability provisions of a signed project agreement.

To the fullest extent permitted by applicable law, Sparrow and its owners, officers, employees, contractors and service providers will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages arising from:

  • Website interruptions
  • Form errors
  • Lost submissions

  • Unauthorised access outside Sparrow’s reasonable control

27. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify and hold harmless Sparrow and its owners, officers, employees and service providers from third-party claims, losses, liabilities and reasonable costs arising from:

  • Your unlawful use of the website
  • Information you knowingly submit without authority
  • Content you upload in violation of another person’s rights
  • Your infringement of intellectual property or privacy rights
  • Your material violation of these Terms
  • Fraudulent or malicious conduct

This section does not require you to indemnify Sparrow for Sparrow’s own negligence, wilful misconduct or violation of law.

28. Events outside reasonable control

Sparrow is not responsible for website delays, interruptions or failures caused by events outside its reasonable control, including:

  • Flood

Project-related force majeure rights and obligations will be governed by the applicable project agreement.

29. Privacy

Sparrow’s collection and use of personal information is governed by its Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference.

By submitting information, you acknowledge that information may be processed by Sparrow and service providers that assist with website hosting, forms, CRM, automation, analytics, email and SMS delivery.

30. Governing law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles.

The federal laws of the United States may also apply.

31. Disputes and venue

Before filing a lawsuit relating solely to website use, the parties are encouraged to attempt to resolve the dispute through good-faith written communication.

A notice should include:

  • A description of the dispute
  • Relevant dates
  • The requested resolution

Unless applicable law requires otherwise, legal proceedings arising solely from these Terms or website use must be brought in the state or federal courts serving Davidson County, Tennessee.

32. Time limit for website claims

To the fullest extent permitted by law, a claim arising solely from use of the website must be filed within one year after the claim arose.

This limitation does not apply where:

  • Applicable law requires a longer period
  • The claim arises under a separate project agreement
  • The limitation cannot legally be enforced

33. No waiver

If Sparrow does not immediately enforce a provision of these Terms, that does not waive Sparrow’s right to enforce it later.

A waiver is effective only if it is made in writing by an authorised Sparrow representative.

34. Severability

If a court finds any part of these Terms invalid, unlawful or unenforceable, that provision will be enforced to the maximum extent permitted or removed if necessary.

The remaining provisions will continue in effect.

35. Assignment

You may not assign or transfer your rights or obligations under these Terms without Sparrow’s written consent.

Sparrow may assign these Terms as part of a merger, reorganisation, sale of business, transfer of assets or similar transaction.

36. No third-party beneficiaries

These Terms do not create rights for any person or entity other than you and Sparrow, except where expressly stated.

37. Headings

Section headings are provided for convenience and do not affect the interpretation of these Terms.

38. Entire agreement for website use

These Terms and the Privacy Policy constitute the entire agreement between you and Sparrow concerning use of the website.

They do not replace a signed project agreement, estimate, proposal, warranty or other written agreement concerning actual services.

39. Changes to these Terms

We may update these Terms to reflect changes to:

  • Our forms
  • Communication systems
  • Service providers
  • Legal requirements
  • Business practices

The updated Terms will be posted with a revised effective date.

Changes apply to website use after the updated Terms are posted.
